General Sales, Delivery, and Payment Terms
- Except for special conditions stated on the front of the invoice or order form and signed for approval by the customer, only the terms listed below apply, to the exclusion of any others.
- Quotations and price offers are based on the currently applicable wages, materials, and services. If these change beyond the seller's control, the seller reserves the right to adjust prices accordingly. The customer has the right to cancel the agreement within eight days after being informed of the price change.
- Complaints regarding conformity or visible defects in delivery must be reported to us within eight days of delivery and in any case before the goods are used or resold.
- Any objection to the invoice must be made in writing within eight days of the invoice date, always mentioning the invoice date and number.
- All invoices are payable immediately unless otherwise agreed.
- In case of non-payment within the stipulated period, default interest equal to the legal interest rate will be due from the due date without prior notice. Additionally, a fixed compensation of 10% of the invoice amount will be charged.
- If an order is canceled, the buyer is liable for a fixed compensation of 10% of the order value, with a minimum of €100, without prejudice to the possibility of claiming higher damages. If the agreement is canceled by the seller, the same compensation applies in favor of the buyer.
- Until the delivered goods are fully paid for, they remain the property of the seller.
- In case of disputes, the courts or the justice of the peace of the place where the obligations (related to the dispute) arise or are to be fulfilled shall have jurisdiction. Belgian law applies to this agreement.
- If the buyer does not collect the goods on the specified date, we reserve the right to consider the agreement dissolved after fifteen days, without prior notice. The storage of goods pending delivery or collection is at the buyer’s risk and expense.
- The agreement can be terminated by either party without compensation in the event of force majeure, strike, lock-out, or the bankruptcy of the other party.
- We also reserve the right to terminate the agreement automatically and without prior notice in case of the customer’s bankruptcy or apparent insolvency.
- Costs related to unpaid drafts or checks, as well as other collection costs, are not included in the fixed compensation and will be charged separately to the buyer.
- If we commit to providing services, one-third of the payment is due upon signing the order form, one-third at the start of the service, and one-third upon completion.
- In case of non-payment, we reserve the right to consider the agreement automatically terminated without prior notice, for the entirety or the unfulfilled part.
- Goods are shipped at the buyer’s risk unless otherwise agreed or in case of gross negligence on the carrier's part. Unless otherwise specified, transport costs are borne by the buyer.
